Plugin Terms & Conditions

These Plugin Terms & Conditions (“Terms”) govern the downloading, installation, access to, and use of WordPress plugins, software, updates, integrations, and related services developed or distributed by Deerwood Media (“Deerwood Media,” “we,” “us,” or “our”).

These Terms apply to Deerwood Media plugins including, but not limited to, Deerwood Country Access, Deerwood WebP, Deerwood Bunny.net integrations, and other plugins or software made available by Deerwood Media (collectively, the “Plugins”).

By downloading, installing, activating, configuring, or using a Plugin, you acknowledge that you have read and understood these Terms and agree to them to the extent permitted by applicable law.

If you are installing or using a Plugin on behalf of a business or other organization, you represent that you have authority to do so on its behalf.

1 WordPress and Open-Source Licensing

Unless otherwise stated, Deerwood Media WordPress Plugins distributed through WordPress.org are licensed under the GNU General Public License version 2 or later (GPLv2+), or another licence compatible with the licensing requirements of WordPress.

Nothing in these Terms is intended to restrict rights granted to you under an applicable open-source licence.

Third-party libraries, APIs, services, trademarks, and other components may be subject to their own licences and terms.

2 Plugin Use

You are responsible for determining whether a Plugin is appropriate for your website, hosting environment, business, security requirements, and intended use.

You are responsible for properly installing, configuring, testing, maintaining, and monitoring any Plugin you use.

You must not use a Plugin in a manner that violates applicable law, infringes the rights of another person, interferes with third-party systems, or violates the terms of a third-party service used by the Plugin.

3 Backups and Testing

Important: You should maintain a complete and current backup of your website, files, configuration, and database before installing, updating, removing, or materially changing the configuration of a Plugin.

Where practical, Plugins and significant configuration changes should be tested in a staging or development environment before being deployed to a production website.

You are responsible for maintaining appropriate backup and recovery procedures for your website.

4 Security Plugins

Certain Deerwood Media Plugins may provide security-related functionality, including geographic access restrictions, IP blocking, rate limiting, firewall integration, bot detection, logging, or other protective measures.

No security product can guarantee that a website will not be attacked, compromised, abused, accessed without authorization, experience malicious traffic, or suffer data loss.

Use of a Deerwood Media security Plugin does not replace appropriate server security, WordPress maintenance, strong authentication, backups, malware protection, firewall configuration, software updates, monitoring, or other reasonable security practices.

Security settings may block legitimate visitors or administrators if incorrectly configured.

You are responsible for reviewing, testing, and monitoring security rules before and after enabling them.

5 Third-Party Services

Some Plugins integrate with independent third-party products or services, including services such as Cloudflare, Bunny.net, Jobber, IP geolocation providers, hosting companies, content delivery networks, APIs, and other platforms.

These services are not controlled by Deerwood Media.

Your use of a third-party service is subject to that provider's own terms, privacy policies, pricing, usage limits, availability, and technical requirements.

Deerwood Media is not responsible for third-party:

  • outages or service interruptions;
  • API changes;
  • pricing changes;
  • rate limits or usage restrictions;
  • account suspensions;
  • security incidents;
  • data handling;
  • configuration changes;
  • discontinued features;
  • service termination; or
  • other acts or omissions.

We do not guarantee that a Plugin's integration with a third-party service will remain available indefinitely.

6 Compatibility

WordPress websites can contain combinations of themes, plugins, server configurations, PHP versions, WordPress versions, caching systems, security products, hosting platforms, and custom code that Deerwood Media cannot reasonably test.

Accordingly, Deerwood Media does not guarantee compatibility with every:

  • WordPress version
  • PHP version
  • Theme
  • Plugin
  • Hosting environment
  • Server configuration
  • Browser
  • CDN
  • Firewall
  • Caching system
  • API
  • Third-party service

An update to WordPress, another plugin, a theme, PHP, a server, an API, or a third-party service may affect Plugin functionality.

7 Updates and Continued Development

Deerwood Media may release updates, security fixes, compatibility improvements, bug fixes, enhancements, or new versions of its Plugins.

Unless expressly agreed otherwise, Deerwood Media does not guarantee that:

  • updates will be released on a particular schedule;
  • a Plugin will be maintained indefinitely;
  • every reported issue will be corrected;
  • every requested feature will be implemented; or
  • compatibility with discontinued or obsolete software will be maintained.

We may modify, replace, discontinue, or retire a Plugin or feature where reasonably necessary.

8 Support

Unless a separate support agreement, service agreement, or paid plan states otherwise, downloading or using a free Deerwood Media Plugin does not create an obligation for Deerwood Media to provide individual technical support, website repair, configuration assistance, or troubleshooting.

Any support provided for a free Plugin is provided at Deerwood Media's discretion.

Paid development, consulting, hosting, maintenance, or support services may be governed by separate agreements.

9 Privacy and Data

Some Plugins may process or locally store information required to perform their intended functions.

The type of information processed depends on the Plugin and its configuration.

For example, a security Plugin may need to process IP addresses, country information, URLs, request information, timestamps, or other technical information necessary for security functions.

Where a Plugin communicates with an external service, information necessary to perform that function may be transmitted to the applicable service.

Website owners are responsible for determining their own privacy, disclosure, consent, and data-retention obligations under applicable law.

Where applicable, additional information about a particular Plugin's data handling will be provided in that Plugin's documentation or privacy disclosure.

10 No Guarantee of Results

Deerwood Media does not guarantee that using a Plugin will produce any particular business, security, search-engine, performance, availability, bandwidth, conversion, revenue, or other result.

Performance and security outcomes depend on many factors outside Deerwood Media's control.

11 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEERWOOD MEDIA PLUGINS AND RELATED SOFTWARE ARE PROVIDED “AS IS,” “WITH ALL FAULTS,” AND “AS AVAILABLE.”

To the maximum extent permitted by applicable law, Deerwood Media disclaims all representations, warranties, and conditions, whether express, implied, statutory, or otherwise, including implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, title, non-infringement, compatibility, availability, reliability, and security.

Deerwood Media does not warrant that a Plugin will:

  • meet every user's requirements;
  • operate without interruption;
  • be error-free;
  • prevent every security incident;
  • remain compatible with all third-party software or services;
  • remain continuously available;
  • detect or block every malicious request;
  • improve website performance in every environment; or
  • have every defect corrected.

Nothing in these Terms excludes a warranty, condition, right, or remedy that cannot lawfully be excluded under applicable law.

12 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEERWOOD MEDIA, ITS OWNER, DEVELOPERS, CONTRACTORS, CONTRIBUTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO A PLUGIN OR ITS USE.

This includes, without limitation, losses arising from:

  • website downtime;
  • loss of revenue or profits;
  • loss of business opportunities;
  • loss of website traffic;
  • loss or corruption of data;
  • loss of search-engine rankings;
  • blocked legitimate visitors;
  • inability to access a website;
  • security incidents;
  • unauthorized access;
  • malware;
  • third-party service interruptions;
  • increased hosting, bandwidth, API, CDN, or service charges;
  • software conflicts;
  • configuration errors; or
  • inability to use a Plugin.

These limitations apply regardless of whether the claim arises in contract, negligence, tort, warranty, statute, or another legal theory, to the extent permitted by applicable law.

LIABILITY CAP

13 Maximum Aggregate Liability

To the maximum extent permitted by applicable law, Deerwood Media's total aggregate liability arising from or relating to a Plugin will not exceed the greater of:

  1. the amount you paid directly to Deerwood Media for that Plugin during the twelve (12) months immediately preceding the event giving rise to the claim; or
  2. CAD $10.00.

For a Plugin provided free of charge, Deerwood Media's maximum aggregate liability will therefore be CAD $10.00, to the extent such a limitation is permitted by applicable law.

The existence of multiple claims does not increase this maximum aggregate amount.

Nothing in this section limits liability where such liability cannot legally be excluded or limited.

14 User Responsibility

You retain responsibility for your website and its operation.

This includes responsibility for:

  • maintaining backups;
  • protecting administrator credentials;
  • configuring the Plugin correctly;
  • reviewing security and access rules;
  • testing configuration changes;
  • maintaining WordPress and server software;
  • securing third-party API credentials;
  • complying with privacy and data-protection requirements;
  • reviewing third-party service charges;
  • monitoring website availability; and
  • maintaining an appropriate disaster-recovery procedure.

You should not rely on a Plugin as the sole method of protecting, backing up, monitoring, or maintaining a website.

15 Indemnification

To the extent permitted by applicable law, if you use a Deerwood Media Plugin in connection with a business or commercial activity, you agree to indemnify and hold harmless Deerwood Media, its owner, developers, contractors, and contributors from third-party claims, liabilities, damages, costs, and reasonable legal expenses arising from:

  • your unlawful use of a Plugin;
  • your material breach of these Terms;
  • your violation of a third party's rights;
  • content or data under your control; or
  • your configuration or operation of a Plugin in violation of applicable law or third-party terms.

This section does not require indemnification for liability that applicable law does not permit Deerwood Media to exclude or transfer.

16 Intellectual Property and Trademarks

Except for rights granted under applicable open-source licences, Deerwood Media retains its rights in its business name, trademarks, logos, website content, documentation, original graphics, branding, and other proprietary materials.

“WordPress,” “Cloudflare,” “Bunny.net,” “Jobber,” and other third-party names and trademarks belong to their respective owners.

References to third-party products or services describe compatibility or integration and do not imply endorsement, sponsorship, partnership, or affiliation unless expressly stated.

17 Free and Paid Plugins

Some Deerwood Media Plugins may be distributed free of charge while other software, services, support, or future products may require payment.

The availability of a free Plugin does not guarantee that related services or third-party services will also be free.

Where a Plugin is distributed through WordPress.org, its distribution and licensing will remain subject to applicable WordPress.org requirements and its applicable open-source licence.

18 Changes to Plugins

Deerwood Media may modify a Plugin's functionality, user interface, integrations, technical requirements, or features as the Plugin evolves.

Material changes will generally be documented through release notes, a changelog, Plugin documentation, or other reasonable notice where appropriate.

19 Changes to These Terms

Deerwood Media may update these Terms from time to time to reflect changes in its Plugins, services, business practices, third-party integrations, or applicable legal requirements.

The current version will be published on the Deerwood Media website with a revised “Last Updated” date.

Where applicable law requires additional notice or consent for a change, Deerwood Media will comply with those requirements.

20 Governing Law

Subject to any mandatory consumer-protection rights or other laws that cannot legally be excluded, these Terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada.

Nothing in these Terms prevents a consumer from exercising rights or remedies available under applicable consumer-protection legislation.

21 Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, where permitted, and the remaining provisions will continue in effect.

22 Entire Agreement

These Terms, together with any applicable Plugin-specific terms, open-source licence, privacy disclosures, purchase terms, or separate written agreement with Deerwood Media, constitute the applicable terms governing use of the Plugin.

If a separate written agreement signed by Deerwood Media expressly conflicts with these Terms, the separate agreement will govern to the extent of that conflict.

Before installing a plugin

Installing software on a production website always carries some degree of risk. Maintain a current backup of your website and database, review Plugin settings carefully, and test significant changes whenever possible before deploying them to a live website.
